TechFlash Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and TECHFLASH INC., doing business as TechFlash ("TechFlash," "we," "us," or "our").
These Terms govern your access to and use of the TechFlash website, mobile application, advertisements, forms, technician network, company tools, communications, and related products and services collectively referred to as the "Services."
By creating an account, submitting information, accessing, or using the Services, you agree to these Terms and acknowledge the TechFlash Privacy Policy:

If you do not agree, do not use the Services.
1. ELIGIBILITY
You must be at least 18 years old and legally capable of entering into a binding agreement.
If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
You may not use the Services if you are prohibited from doing so by law or have previously been suspended or removed from TechFlash without written authorization to return.
2. THE TECHFLASH PLATFORM
TechFlash provides technology that may allow:
- Technicians to create professional profiles
- Companies to create business profiles
- Companies to post or describe potential work opportunities
- Technicians to discover, evaluate, apply for, or claim opportunities
- Users to communicate, schedule, and exchange information
- Users to submit licenses, credentials, references, and verification information
- TechFlash to offer optional identity, credential, background, or driving-record verification
- Users to process or document certain marketplace transactions
Features may vary by location, account type, subscription, and platform version.
TechFlash may add, modify, suspend, or discontinue features at any time, subject to applicable law.
3. MARKETPLACE ROLE
Unless TechFlash expressly agrees otherwise in a separate written contract:
- TechFlash provides a marketplace and technology platform.
- TechFlash is not the employer of technicians.
- TechFlash is not the employee of companies.
- TechFlash is not automatically a party to a work agreement between a technician and company.
- TechFlash does not guarantee that any user will receive work, accept work, complete work, make payment, or perform satisfactorily.
- TechFlash does not control every job site, work method, tool, schedule, supervision arrangement, or user interaction.
- TechFlash does not guarantee the legality, safety, quality, availability, or suitability of any opportunity or user.
Technicians and companies are responsible for determining the nature of their relationship and complying with applicable employment, labor, wage, tax, licensing, immigration, insurance, and worker-classification laws.
Nothing in these Terms overrides any separate written agreement expressly signed by TechFlash.
4. USER ACCOUNTS
You agree to:
- Provide accurate, complete, and current information
- Maintain the confidentiality of account credentials
- Use your own identity and authorized contact information
- Promptly update inaccurate or expired information
- Notify TechFlash of suspected unauthorized access
- Accept responsibility for activity under your account
You may not sell, transfer, lease, or share an account without TechFlash's written authorization.
TechFlash may request additional information to confirm identity, authority, eligibility, or account ownership.
5. TECHNICIAN RESPONSIBILITIES
Technicians represent that information submitted through TechFlash is accurate and not misleading.
Technicians are responsible for:
- Accurately describing experience and qualifications
- Maintaining required licenses, registrations, permits, and certifications
- Disclosing material restrictions on the work they may legally perform
- Evaluating each opportunity before accepting it
- Arriving as agreed
- Performing work safely and professionally
- Following lawful job-site rules
- Using appropriate tools and personal protective equipment
- Reporting injuries, safety concerns, disputes, or material job changes
- Complying with tax and reporting obligations applicable to their situation
- Maintaining any insurance legally or contractually required
A TechFlash profile or verification badge is not a government license and does not authorize work that otherwise requires a license.
6. COMPANY RESPONSIBILITIES
Companies and their representatives agree to:
- Provide accurate company and job information
- Have authority to post opportunities and engage technicians
- Describe the work, location, schedule, required credentials, expected duties, compensation, overtime rules, and material conditions accurately
- Maintain a reasonably safe and lawful work environment
- Provide required supervision, permits, equipment, training, and safety information
- Pay agreed amounts when due
- Comply with employment, labor, wage, tax, licensing, insurance, anti-discrimination, occupational-safety, and worker-classification requirements
- Avoid requesting work that a technician may not legally perform
- Avoid misusing technician contact, identity, or verification information
Companies are responsible for determining whether a technician is appropriate and legally eligible for a specific role.
7. JOBS, MATCHING, AND COMMUNICATIONS
A job listing, recommendation, alert, application, claim, invitation, match, or message does not guarantee a binding work engagement.
A binding arrangement may arise only under the terms agreed between the applicable users or under a separate written agreement involving TechFlash.
Users are responsible for reviewing:
- Scope of work
- Compensation
- Schedule
- Location
- Travel
- Overtime
- Weekend work
- Tools
- Expenses
- Cancellation terms
- Safety conditions
- Insurance
- Applicable licenses
- Any written job agreement
TechFlash may use automated systems to recommend opportunities or users. Recommendations may be incomplete or inaccurate and should not replace independent evaluation.
8. VERIFICATION AND TECHFLASH VERIFIED
TechFlash may offer an optional, generally one-time verification process intended to help users display a verification status or badge.
Verification may include:
- Identity confirmation
- License or certification review
- Professional-reference review
- Background screening
- Motor-vehicle-record screening
- Other credential checks
Verification is optional unless a particular feature or separately disclosed job requirement states otherwise.
Verification may be performed by third-party providers. Additional disclosures, authorizations, provider terms, and privacy notices may apply.
A verified badge means only that specified information or checks were completed according to the process in place at that time. It does not guarantee:
- Current eligibility
- Future conduct
- Job performance
- Honesty
- Safety
- Licensing for every task
- Absence of criminal or driving history
- Accuracy of every third-party record
- Suitability for a particular company or opportunity
Credentials expire and circumstances change. Users and companies remain responsible for making independent decisions.
TechFlash may issue, deny, condition, suspend, expire, or remove verification status when reasonably appropriate.
9. BACKGROUND CHECKS AND CONSUMER REPORTS
When TechFlash or a company requests a background check, motor-vehicle report, or other consumer report, legally required disclosures and authorizations will be handled separately.
These Terms do not constitute authorization to obtain a consumer report.
Screening providers may have separate terms and privacy policies. TechFlash is not responsible for inaccuracies originating in public records or third-party reports, but users may have dispute rights through the provider and applicable law.
10. FEES, PAYMENTS, AND SUBSCRIPTIONS
TechFlash may charge:
- Platform fees
- Service fees
- Processing fees
- Verification fees
- Subscription fees
- Cancellation fees
- Other clearly disclosed charges
Fees will be shown or otherwise disclosed before they are charged.
Payments may be processed through Stripe or another provider. Users authorize the applicable provider to process approved charges.
Except where required by law or expressly stated otherwise, fees may be nonrefundable after the applicable service has been performed or cost incurred.
Subscription terms, renewal periods, and cancellation methods will be disclosed at purchase.
TechFlash may change future pricing upon notice. Pricing changes do not retroactively alter completed transactions.
11. TAXES
Users are responsible for determining and paying taxes applicable to their income, transactions, workforce, or business.
TechFlash may collect, report, withhold, or remit taxes when legally required.
Nothing provided by TechFlash is tax, accounting, or legal advice.
12. CANCELLATIONS, DISPUTES, AND REFUNDS
Users must promptly communicate cancellations and material job changes.
TechFlash may establish cancellation, no-show, payment-dispute, refund, and marketplace-resolution procedures.
TechFlash may review records and communications when attempting to facilitate a resolution but is not obligated to resolve every dispute.
Chargebacks or payment reversals made in bad faith may result in account restrictions and collection activity.
13. INSURANCE AND SAFETY
Unless expressly stated in writing, TechFlash does not provide general liability, workers' compensation, automobile, health, occupational accident, or professional insurance for users.
Each user is responsible for determining what insurance is required.
Users must not accept or direct unsafe, unlawful, or unlicensed work.
In an emergency, contact emergency services before contacting TechFlash.
14. ACCEPTABLE USE
You may not:
- Violate any law or regulation
- Misrepresent identity, credentials, authority, experience, or job details
- Submit false licenses, documents, reviews, or references
- Harass, threaten, discriminate against, exploit, or harm another person
- Circumvent legally required licensing or employment obligations
- Use the Services for fraud, spam, phishing, or deceptive conduct
- Scrape, harvest, sell, or misuse user information
- Introduce malware or interfere with platform operation
- Reverse engineer the Services except where expressly permitted by law
- Access another person's account
- Use automated systems without authorization
- Use TechFlash content or data to build a competing database or service
- Post unlawful, dangerous, defamatory, infringing, or misleading content
- Attempt to evade platform fees through deceptive conduct
- Buy, rent, sell, or use third-party SMS opt-in lists through TechFlash
15. USER CONTENT
"User Content" includes information, text, images, credentials, profiles, reviews, messages, job descriptions, and other material submitted through the Services.
You retain ownership of your User Content.
You grant TechFlash a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute, and use User Content as reasonably necessary to operate, improve, secure, and promote the Services.
You represent that you have the rights required to submit the content and that its use as permitted by these Terms will not violate the rights of others.
TechFlash may remove or restrict content that violates these Terms or creates legal, safety, or platform risks.
16. COMMUNICATIONS GENERALLY
You agree that TechFlash may send administrative and service-related communications through email, in-app messages, push notifications, telephone, or other available channels, subject to applicable law and your communication preferences.
You are responsible for keeping your contact information current.
17. SMS COMMUNICATIONS

Users who separately opt in may receive recurring marketing and/or informational text messages from TechFlash.
Depending on the consent selected, messages may include:
- Technician onboarding
- Account and profile updates
- Application and verification updates
- Job opportunities
- Job reminders
- Scheduling information
- Customer-support messages
- Service announcements
- Marketing or promotional communications
Consent to receive SMS messages is optional and is not a condition of purchasing, submitting a lead form, creating an account, applying for an opportunity, or using TechFlash.
Message frequency varies based on account activity, available opportunities, and user interaction.
Message and data rates may apply. Your wireless carrier's rates and terms apply.
To stop receiving messages, reply STOP.
TechFlash may recognize additional customary opt-out words such as END, CANCEL, UNSUBSCRIBE, or QUIT. After an opt-out request, TechFlash may send one final confirmation message. No additional messages from the opted-out campaign will be sent unless the user later provides new consent.

Wireless carriers are not liable for delayed or undelivered messages.
Delivery is subject to effective transmission by your carrier and network provider.
You must be at least 18 years old to participate in the TechFlash SMS Program.
You represent that you are the subscriber or customary user of the telephone number provided and that you are authorized to consent to messages at that number.
Notify TechFlash if you discontinue or transfer your number. Consent associated with one person or telephone number is not transferable to another person, campaign, or business.
TechFlash records and honors applicable opt-in and opt-out requests.

19. THIRD-PARTY SERVICES
The Services may integrate with third parties such as payment processors, mapping providers, analytics providers, background-check providers, identity-verification providers, app stores, and authentication services.
Third-party products are governed by their own terms and policies.
TechFlash is not responsible for third-party services that it does not control.
20. TECHFLASH INTELLECTUAL PROPERTY
The Services, including software, design, branding, logos, text, interfaces, databases, and TechFlash-created content, are owned by TechFlash or its licensors and protected by applicable law.
Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to you.
"TechFlash," the TechFlash logo, and related branding may not be used without written permission.
21. FEEDBACK
If you submit ideas, recommendations, or feedback, you grant TechFlash the unrestricted right to use them without compensation or obligation.
22. SUSPENSION AND TERMINATION
TechFlash may investigate, restrict, suspend, or terminate access when reasonably necessary to:
- Enforce these Terms
- Protect users
- Address fraud or safety concerns
- Respond to legal requirements
- Prevent platform abuse
- Address unpaid fees
- Protect the Services
Users may stop using the Services at any time and may request account deletion, subject to retention obligations.
Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute terms.
23. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TECHFLASH DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TECHFLASH DOES NOT WARRANT THAT:
- THE SERVICES WILL ALWAYS BE AVAILABLE OR ERROR-FREE
- A USER WILL RECEIVE OR COMPLETE WORK
- A USER WILL BE PAID
- A USER'S INFORMATION IS ACCURATE
- A VERIFICATION WILL IDENTIFY EVERY RELEVANT ISSUE
- A JOB SITE OR OPPORTUNITY IS SAFE
- ANY MATCH OR RECOMMENDATION IS SUITABLE
- THIRD-PARTY SERVICES WILL OPERATE WITHOUT INTERRUPTION
Some jurisdictions do not permit certain disclaimers, so some exclusions may not apply.
24. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHFLASH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, PERSONAL INJURY CAUSED BY ANOTHER USER, OR DAMAGES ARISING FROM USER CONDUCT OR THIRD-PARTY SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHFLASH'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID DIRECTLY TO TECHFLASH DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS ($100)
These limitations do not apply where prohibited by law.
25. INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless TechFlash and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of law
- Your infringement of another person's rights
- A job, workplace, payment, classification, tax, licensing, safety, or employment dispute involving you
- False or misleading information you provide
26. INFORMAL DISPUTE RESOLUTION
Before filing a formal claim, the complaining party must send a written notice describing:
- The party's name and contact information
- The relevant account
- The facts
- The requested resolution
Notices to TechFlash must be sent to [email protected] and the business mailing address listed below.
The parties will attempt in good faith to resolve the dispute for at least 30 days.
27. BINDING INDIVIDUAL ARBITRATION
Except for eligible small-claims matters, intellectual-property claims, or requests for emergency injunctive relief, disputes arising from these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial rules.
Arbitration will take place remotely where reasonably available or in a mutually agreed location.
The Federal Arbitration Act governs this arbitration provision.
28. CLASS-ACTION AND JURY-TRIAL WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL.
CLAIMS MUST BE BROUGHT INDIVIDUALLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
The arbitrator may award relief only to the individual party seeking relief.
29. ARBITRATION OPT-OUT
A user may opt out of the arbitration provision by sending written notice to [email protected] within 30 days after first accepting these Terms.
The notice must include the user's full name, account email, mailing address, and a clear statement that the user opts out of arbitration.
Opting out of arbitration does not affect the remaining Terms.
30. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent federal law applies.
If TECHFLASH INC. is not incorporated in Delaware, replace Delaware with the correct state before deployment.
Where arbitration does not apply, the parties consent to jurisdiction in the state and federal courts located in the county and state of TechFlash's principal business office, unless applicable law requires otherwise.
31. CHANGES TO THESE TERMS
TechFlash may update these Terms from time to time.
The updated Terms will be posted with a revised "Last Updated" date. Material changes may be communicated through the Services or other reasonable means.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
32. GENERAL PROVISIONS
These Terms and incorporated policies constitute the entire agreement concerning the Services unless a separate written agreement applies.
If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective.
TechFlash's failure to enforce a provision is not a waiver.
You may not assign these Terms without TechFlash's written consent. TechFlash may assign them in connection with a merger, acquisition, financing, restructuring, or sale of assets.
